I am the Seller of the business assets of _____________________________ (“Company”) located at ____________________________________________, to __________________________________ (“Buyer”) under an Agreement dated ________________________________.
I hereby represent that the Company is the sole owner of the said business assets and has full right to sell and transfer the business assets. All of the business assets are free and clear of all obligations and encumbrances. There are no existing court judgments, nor any liens, attachments or executions, nor any petition in bankruptcy, nor has any arrangement proceeding been filed by or against the Company. In addition, the Company has not taken advantage of any law relating to insolvency.
This affidavit is made to induce the Buyer to accept the transfer of the business assets. It is also to assure compliance with the bulk transfer provisions of the UCC as enacted in the State of ____________________ and to assure the Purchaser that there are no creditors of the Company who are entitled to the statutory notice of sale.
