Form 2501 - General Information (Athlete Agent Registration Application) The attached form is drafted to meet minimal statutory filing requirements pursuant to the relevant code provisions. This form and the information provided are not substitutes for the advice and services of an attorney. Commentary Athlete agents are governed by Chapter 2051 of the Texas Occupations Code. Subchapter C of this chapter sets forth the application requirements that must be satisfied before the issuance of a certificate of registration enabling an athlete agent to recruit or solicit an athlete to enter into an agent contract, a financial services contract, or a professional sports services contract. Form Instructions · Section 1 ­ Entity Name and Type: Enter the applicant's name. Indicate the principal business address and a contact telephone number. Check the appropriate box for the type of entity. Note - If the applicant seeking certification as an athlete agent in the state of Texas holds a certificate of registration or license as an athlete agent in another state, a copy of the previous application and certificate or license may be submitted instead of submitting this application. · Section 2 ­ Background and Experience: If the entity listed in Section 1 is an individual or sole proprietor, please continue with Section 2 providing the background and experience for the applicant. If the applicant is a member of the State Bar of Texas, the application must include the name and address of each person who is involved in the activities of the athlete agent. It is not required for the applicant to state the name and address of members of a law firm or professional corporation who are not involved in the business of the athlete agent. · Section 3 ­ References: Provide three (3) professional references. · Section 4 ­ Athlete Representation: List the name, sport, and school attended for each person the applicant represented as an athlete agent during the five (5) years immediately preceding the date of application. Attach additional pages as necessary. · Section 5 ­ Additional Persons Who Recruit or Solicit Athletes: If the applicant is a corporation, limited liability company, association, partnership, or other type of legal entity provide the requested information for all persons who recruit or solicit athletes on behalf of the entity. Attach additional pages as necessary. Please note that if there are any additions or deletions to the listing of persons listed in Section 5, a statement reflecting the changes must be filed with the Secretary of State no later than the 30th day after the date the change occurs. · Section 6 ­ Financially Interested Parties: Provide information for all financially interested parties. An applicant for registration that is a corporation, limited liability company, association,

partnership or other legal entity should provide the requested information for each officer, member, associate, or partner, as appropriate. Attach additional pages as necessary. · Section 7 - Execution: The application must be signed by the named applicant. If the applicant is a legal entity, the application must be signed by a person who has authority to sign on behalf of the applicant. The application is signed under the penalties of perjury. By signing, the signor is declaring the signor has read the document and the facts stated in the application are true. · Additional Filing Requirements: An athlete agent is required by statute to deposit with the Secretary of State a surety bond in the amount of $100,000.00 before entering into a financial services contract with an athlete. For all agents entering into a financial services contract with an athlete, Form 2503 may be used for the required surety bond. This bond requirement does not apply to an athlete agent who enters only into an agent contract with an athlete. For all agents not required to file a bond, an affidavit must be submitted to claim exemption from the bond. The affidavit for an athlete agent registered as an individual is Form 2502A; the affidavit for an athlete agent not registered as an individual is Form 2502. · Criminal Background Checks: Submission of this application is consent for the secretary of state to conduct a criminal background check on the applicant or any person named in Section 5. · Duration: Pursuant to Texas Occupations Code §2051.107, the certificate of registration is valid for a period of one (1) year from the date of issuance. · Payment and Delivery Instructions: The filing fee for an athlete agent registration is $1000.00. If the agent is an entity other than an individual or sole proprietorship, an additional annual filing fee of $100.00 per person for any person named in Section 5 who recruits or solicits an athlete on behalf of the applicant is required. Fees may be paid by personal check, money order, LegalEase, debit card, or credit card (Visa, MasterCard, or Discover). Checks and money orders must be payable through a U.S. bank or financial institution and made payable to the Secretary of State. Fees paid by credit card are subject to a statutorily authorized convenience fee of 2.7% of the total fees.
