Authorization. The execution, delivery and performance by such Seller of each of the Transaction Documents to which such Seller is a party and the other transactions contemplated hereby and thereby (collectively, the "Transactions") (i) have been duly authorized by all requisite corporate and, if required, stockholder action and (ii) will not (A) violate (1) any Requirement of Law or the certificate or articles of incorporation or other constitutive document or by laws of any Subsidiary or (2) any provision of any Contractual Obligation to which it or any Subsidiary is a party or by which any of them or any of

The execution, delivery and performance by such Seller of each of the Transaction Documents to which such Seller is a party and the other transactions contemplated hereby and thereby (collectively, the "Transactions") (i) have been duly authorized by all requisite corporate and, if required, stockholder action and (ii) will not (A) violate (1) any Requirement of Law or the certificate or articles of incorporation or other constitutive document or by laws of any Subsidiary or (2) any provision of any Contractual Obligation to which it or any Subsidiary is a party or by which any of them or any of their property is or may be bound, (B) be in conflict with, result in a breach of or constitute (alone or with notice or lapse of time or both) a default under, or give rise to any right to accelerate or to require the prepayment, repurchase or redemption of any obligation under any such Contractual Obligation except where any such conflict, violation, breach or default referred to in clause (A) or (B), individually or in the aggregate, could not reasonably be expected to have a Seller Material Adverse Effect or (C) result in the creation or imposition of any Lien upon or with respect to any property or assets now owned or hereafter acquired by it or any Subsidiary (other than any Lien created hereunder or contemplated or permitted hereby).
