GROSSMANS INC. AMENDED AND RESTATED AGREEMENT (1994-11-09)

This Amendment No. 1 (the "Amendment") to the Amended and Restated Agreement dated as of July 1, 1991 (the "Agreement") is made and entered into as of this 26th day of September, 1994 by and between Grossman's, Inc., a Delaware corporation ("Employer"), and Richard E. Kent ("Employee").

WACHOVIA CORP NEW. AMENDED AND RESTATED AGREEMENT (1995-03-03)

This Agreement is governed by and is to be construed and enforced in accordance with the laws of the State of North Carolina.
