This DEED OF TRUST, SECURITY AGREEMENT AND FINANCING STATEMENT (hereinafter referred to as the "Deed of Trust") is entered into as of the ________ day of December, 1994, by MRI BUSINESS PROPERTIES FUND, LTD. II, a California limited partnership (hereinafter referred to as "Grantor," whether one or more), and JOHN B. STEWART, TRUSTEE (herein- after referred to in such capacity as "Trustee"), for the benefit of the hereinbelow defined Beneficiary, upon the following terms and conditions:

THIS ASSIGNMENT OF LEASES, RENTS AND SECURITY DEPOSITS (this "Assignment"), made as of the 10th day of October, 1996, by 1290 PARTNERS, L.P., a Delaware limited partnership, and 237 PARK PARTNERS, L.P., a Delaware limited partnership, each having an address at c/o Victor Capital Group, L.P., 885 Third Avenue, New York, New York 10022 (collectively, "Assignor") to THE CHASE MANHATTAN BANK, having an office at 380 Madison Avenue, New York, New York 10017, as Agent ("Assignee").
