MERIDIAN RESOURCE CORP. FOURTH AMENDMENT TO FORBEARANCE AND AMENDMENT AGREEMENT (2009-11-19)

THIS FOURTH AMENDMENT TO FORBEARANCE AND AMENDMENT AGREEMENT (the “ _Amendment_ ”) is made as of November 13, 2009, by and among THE MERIDIAN RESOURCE CORPORATION, a Texas corporation (the “ _Borrower_ ”), the undersigned Guarantors (the “ _Guarantors_ ”), the several banks, financial institutions and other entities from time to time parties to the Credit Agreement (as defined below) (collectively, the “ _Lenders_ ”), and FORTIS CAPITAL CORP. (“ _Fortis_ ” or the “ _Administrative Agent_ ”), as administrative agent for the Lenders.

THIS FOURTH AMENDMENT TO FORBEARANCE AND AMENDMENT AGREEMENT (this “ _Fourth Amendment_ ”) is made as of December 22, 2009, by and among TMR DRILLING CORPORATION, a Texas corporation (the “ _Borrower_ ”), THE MERIDIAN RESOURCE CORPORATION, a Texas corporation (“ _Meridian_ ”), THE MERIDIAN RESOURCE & EXPLORATION LLC, a Delaware limited liability company (“ _TMR Exploration_ ,” and collectively with the Borrower and Meridian, the “ _CIT Credit Parties_ ”) and THE CIT GROUP/EQUIPMENT FINANCING, INC. (“ _CIT_ ”), in its capacity as Administrative Agent and Lender under the CIT Credit Agreement (as defined below).
