This Fourth Amendment to Management Agreement with Option to Purchase (this "Amendment") is effective as of the 2nd day of January, 2004 by and among Emeritus Management LLC, a Washington limited liability company ("Emeritus Management"), Emeritus Management I LP, a Washington limited partnership ("Texas Manager;" together with Emeritus Management referred to herein as "Manager"), Emeritus Corporation, a Washington Corporation ("Emeritus), AL Investors LLC, a Delaware limited liability company ("AL Investors"), for itself and as sole managing member or sole managing member of the general partner of each of the Facility Entities set forth on Exhibit A to the Management Agreement (as hereinafter defined).

THIS FOURTH AMENDMENT TO MANAGEMENT AGREEMENT effective January 1, 2010 amends that certain Management Agreement dated as of December 1, 1997, between Retama Development Corporation having an office at 1 Retama Parkway, Selma, Texas 78154 (“Owner”), Retama Partners, Ltd. having an office at 1964 South Alamo, San Antonio, Texas 78204 (“License Holder”), and Retama Entertainment Group, Inc., a Texas Limited Liability Corporation, having an office at 1 Retama Parkway, Selma, Texas 78154 (“Operator”).

Navios Maritime Acquisition CORP. FOURTH AMENDMENT TO MANAGEMENT AGREEMENT (2016-06-09)

This FOURTH AMENDMENT TO THE MANAGEMENT AGREEMENT (this “ _Amendment_ ”), dated as of May 19, 2016 is made by and between Navios Maritime Acquisition Corporation, a Marshall Islands corporation (“ _NMAC_ ”) and Navios Tankers Management Inc., a Marshall Islands corporation (“ _Tankers Management_ ”, and together with NMAC, the “ _Parties_ ”) and amends the Management Agreement (including all amendments thereto, the “ _Agreement_ ”) entered into between NMAC and Navios Shipmanagement Inc. (“Shipmanagement”) on May 28, 2010 as such Agreement was assigned to Tankers Management via an assignment agreement among the Parties and Shipmanagement dated September 10, 2010 and subsequently amended. Capitalized terms used and not otherwise defined in this Amendment shall have the meanings given them in the Agreement.

THIS FOURTH AMENDMENT TO MANAGEMENT AGREEMENT (this "Amendment") is made and entered into as of March 24, 2017, by and among HPT TRS IHG-2, INC., a Maryland corporation ("Owner"), INTERCONTINENTAL HOTELS GROUP RESOURCES, INC., a Delaware corporation ("IHG Resources"), IHG MANAGEMENT (MARYLAND) LLC, a Maryland limited liability company ("IHG Maryland"), and INTERCONTINENTAL HOTELS GROUP (CANADA), INC., a corporation under the laws of Ontario, Canada ("IHG Canada", and together with IHG Resources and IHG Maryland, collectively, "Manager").
