PASSPORT BRANDS, INC. SECOND AMENDED AND RESTATED SHAREHOLDERS' AGREEMENT (1999-08-13)

This SECOND AMENDED AND RESTATED SHAREHOLDERS' AGREEMENT (the "Agreement") dated June __, 1999 is by and among I.C. Isaacs & Company, Inc., a Delaware corporation having its principal office and place of business at 3840 Bank Street, Baltimore, Maryland 21224-2522 (the "Corporation"), and the shareholders listed on SCHEDULE A hereto (each a "Shareholder" and, collectively, the "Shareholders").

BARGO ENERGY CO. SECOND AMENDED AND RESTATED SHAREHOLDERS' AGREEMENT (1999-11-19)

This First Amendment ("Amendment") to the Second Amended and Restated Shareholders' Agreement is effective for all purposes as of August 11, 1999, and evidences the following:

FLONETWORK INC. SECOND AMENDED AND RESTATED SHAREHOLDERS' AGREEMENT (2000-03-15)

This AGREEMENT made as of the 24th day of November, 1999.
