Avangrid, Inc.. SECOND AMENDMENT AND EXTENSION AGREEMENT (2015-07-17)

THIS SECOND AMENDMENT AND EXTENSION AGREEMENT, dated as of July 15, 2014 (this “ _Agreement_ ”), among NEW YORK STATE ELECTRIC & GAS CORPORATION, a New York corporation (“ _NYSEG_ ”), ROCHESTER GAS AND ELECTRIC CORPORATION, a New York corporation (“ _RG &E_”), CENTRAL MAINE POWER COMPANY, a Maine corporation (“ _CMP_ ”; together with NYSEG, and RG&E, the “ _Borrowers_ ”; each, a “ _Borrower_ ”), the several banks and other financial institutions or entities from time to time parties to this Agreement (the “ _Lenders_ ”), JPMORGAN CHASE BANK, N.A., as administrative agent (in such capacity, the “ _Administrative Agent_ ”), BANK OF AMERICA, N.A., as syndication agent, and BANCO BILBAO VIZCAYA ARGENTARIA S.A., NEW YORK BRANCH, SANTANDER BANK, N.A. (FORMERLY SOVEREIGN BANK, N.A.), TD BANK, N.A., THE BANK OF NEW YORK MELLON and UNION BANK, N.A., as co-documentation agents.

SOUTHERN Co GAS. SECOND AMENDMENT AND EXTENSION AGREEMENT (2015-11-05)

THIS SECOND AMENDMENT AND EXTENSION AGREEMENT (this "Agreement") is dated as of October 30, 2015 and is entered into by and among AGL Capital Corporation, a Nevada corporation (the "Borrower"), AGL Resources Inc., a Georgia corporation ("Holdings"), the Lenders party hereto, and WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent ("Administrative Agent"), and is made with reference to that certain AMENDED AND RESTATED CREDIT AGREEMENT dated as of November 10, 2011 by and among the Borrower, Holdings, as Guarantor, the Lenders party thereto, the Administrative Agent and the other Agents named therein (as amended by the First Amendment to Amended and Restated Credit Agreement dated as of February 26, 2013 and modified by the First Extension Agreement, dated as of November 8, 2013, the "Credit Agreement"). Capitalized terms used herein without definition shall have the same meanings herein as set forth in the Credit Agreement after giving effect to this Agreement.

THIS SECOND AMENDMENT AND EXTENSION AGREEMENT (this "Agreement") is dated as of October 30, 2015 and is entered into by and among NORTHERN ILLINOIS GAS COMPANY, an Illinois corporation (the "Borrower"), the Lenders party hereto, and SUNTRUST BANK, as Administrative Agent ("Administrative Agent"), and is made with reference to that certain Credit Agreement dated as of December 15, 2011 by and among the Borrower, the Lenders party thereto, the Administrative Agent and the other Agents named therein (as amended by the First Amendment to Amended and Restated Credit Agreement dated as of February 26, 2013 and modified by the First Extension Agreement, dated as of November 8, 2013, the "Credit Agreement"). Capitalized terms used herein without definition shall have the same meanings herein as set forth in the Credit Agreement after giving effect to this Agreement.
