STIPULATION AND ORDER OF DISMISSAL
WHEREAS, Plaintiff El. DuPont de Nemours and Company ("DuPont") and
Defendant Great Lakes Chemical Corporation (“GLCC") have agreed to compromise and settle
all issues in the above civil action by entering into a Confidential Settlement Ageetnent and
consenting to the entry of this STIPULATION OF DISMISSAL AND ORDER without trial of
any issues of fact or law;
IT IS STIPULATED AND AGREED, by and between DuPont and GLCC
through their 'respective counsel, and further, it is ORDERED, ADJUDGED AND DECREED
THAT:
l. Except to the extent necessary to effectuate the terms of the Confidential
Settlement Agreement, the above civil action is dismissed prejudice.
_ 2. This Court has, and shalt retain, jurisdiction of the subject matter and of
the patties for the purposes of ensuring compliance with the Confidential Settlement Agreement
and this STIPULATION OF DISMISSAL AND ORDER. .

3. Each party will bear its own costs, expenses and attomeys’ fees. ‘
4. This STIPULATION OF DISMISSAL AND ORDER shall be binding and
inure to the benefit of the parties, their parents, affiliates, successors, assigns, agents, officers,
directors and employees.
