It was resolved that the above corporation elects to be governed by the provisions of Minnesota Statues, Chapter 317A and accepts all of the duties and responsibilities set forth by that chapter. It was further resolved that all corporate articles currently in effect that are prohibited by or inconsistent with Minnesota Statutes 317A are eliminated by the resolution and that new corporate articles that are required or allowed under Minnesota Statutes 317A are enacted as set forth below. (Note, if your articles do not designate a registered office with a complete street address, you must amend your articles to do so in the space below.)
