GENERAL FILING INSTRUCTIONS FOR DOMESTIC NON PROFIT ARTICLES OF DISSOLUTION BY INCORPORATORS OR INITIAL DIRECTORS Pursuant to A.R.S. §10-11401 Please Note: This form may only be used by a corporation subject to the following requirements:

Either: (1) The corporation has no members. (2) The corporation has no members entitled to vote on dissolution. (3) The corporation has not commenced activities.

The Articles of Dissolution must be signed by an incorporator or initial director. Pursuant to A.R.S. §10-3122 there is a $25.00 filing fee. Expedited filing service is available for an additional $35.00 fee. Make check payable to the Arizona Corporation Commission. There are no requirements for either publication or clearance from the Arizona Department of Revenue.
