8 fale pretenses and mippropriated those fuds. Defendants induced Aremis IV to invest in

11 Inead, Defendats used the money 19aned by Aremis IV, and have" used most of Organc

12 Style's available cash, to fud the operations of other companes, includig Defendant Organc

13 Bouquet. At least one Director of Orgac Style, Defendant Gerald Prolman, held substantial
14 interst in ü"rganc Bouquet.

16 notes purchased by Armis IV (the "Convertble Notes") have been materialy breached; the
17 value of Organc Style has alady been seriously reduced and is fuer theatened DefendaIts

18 have sacrificed the business of Organc Style by tranferrng away the necessar capital that was
19 invested to fud Organc Style's purorted business plan; and, upon tnformation and belief, as a
20 result of

the wrngfl trsfers offuds, Orgapic Style is either inolvent or in the zone of

21 inolvency, with no prospects for makg interest and.principal payments on the Convertble
22 Notes.
