Attached you will find several files which contain a comprehensive Recovery
Plan, based upon your request and input into the process. The files include the
following information:
1. Phase I and ll Reduction In Force Plans including names
2. The details of the 20% Executive Salary Reduction Plan
3. A Revised Sales Direction Strategy summary
4. The l.eapSource Consulting Services document
5. The revised organization chart along with the strategy and structure for the

T 6. A detailed Execution Plan listing all of the specihc operational, public
relations and legal steps that need to be taken with the RIF

As I mentioned in our conversation this morning, the Plan is in place and ready to
be executed. The Company was prepared to take action Monday morning. But in
light of the extensive investor schedule next week, (ADP Tuesday, EDS
Wednesday, Exult Thursday, Warburg Friday, all at the Shared Service Center),
discussions with Salomon, Public Relations, and Human Resources, lfelt that it
would be wise to delay the implementation until after the meetings were
conducted.
After the discussions with GTCR over the past several weeks, I must tell you that
Chris Kirk is committed and ready to take the appropriate cuts. Now, you may not
want to believe this, but let me inform you of a few results of her efforts.

Chris has taken a very hard line on the manpower reduction, and as a result you
will see that the reduction in manpower in Phase I is greater than the plan that
? was shown to GTCR earlier this week. In addition, she took a hard line with the
Executives regarding the salary reduction. No tolerance, everyone is in the
program.
f . Chris contacted the City of Tempe, Maricopa County, and the State of Arizona
through Governor Hull, and the governmental agencies will provide outplacement
services for our displaced employees at no charge to LeapSource.
Chris then fiew to New York City where she had a very successful meeting with
Ernst & Young. She flew out and back in 24 hours, and she is in her office
reviewing The Plan at the current time.
While this has been a hard experience for all involved, including GTCR, let me
state again, as I have stated to all of you before, the most important and
immediate issue at hand is full cooperation from both LeapSource and GTCR.
2 This helps to ensure that a successful transaction will occur within the next few
weeks. From my experience, and my discussions with the potential acquirers and
investors, I believe we are very close. Let’s set the company up for success
along these lines, instead of failure, to get a deal done. This, in my opinion, is a
better shoit—term strategy to help manage your risk and ensure a return on your
investment.
