In the event if any claim is asserted against the indemnified, the Indemnified shall give a reasonable written notice to the Indemnifying Party, and thereafter the Indemnifying Party shall at its own expense defend, protect and save harmless Indemnified against said claim or any loss or liability.
In the if the Indemnifying Party fails to defend and/or indemnify and save harmless the Indemnified, the Indemnified shall have full rights to defend, pay or settle said claim without notice to the Indemnifying Party and thereafter shall have the full rights to recourse against the Indemnifying Party for all fees, costs, expenses and payments made or agreed to be paid to discharge said claim.
This agreement shall be binding upon and inure to the benefit of the parties, their successors, assigns and personal representatives.
This Agreement shall be governed by the laws of the state of _________________________.
