MUTUAL RELEASE AND SETTLEMENT AGREEMENT

This Mutual Release and Settlement Agreement (the �Agreement�) made and entered into on this _____________ day of ____________________, _________ by and between ______________________ of __________________________________________________ ("AAA"), and ______________________ of __________________________________________________ ("BBB").

The parties agree as follows (terms defined in the singular have the same meaning in the plural and vice versa):

Claims

The parties have the following dispute between them:

Settlement

The parties hereby desire to enter into this Agreement in order to provide for certain payments in full settlement and discharge of all Claims upon the terms and conditions of this Agreement.

AAA�s Release

In consideration of _____________________________________________ AAA, on behalf of its heirs, executors, successors, assigns, parents, affiliates, subsidiaries, agents, subcontractors, hereby forever and fully releases, acquits and discharges BBB and each of BBB's successors, assigns, parents, affiliates, subsidiaries, agents, subcontractors from all claims, rights, demands, actions, causes of action, debts or liabilities of any kind whatsoever arising out of AAA's claims and/or arising out of or resulting from or which are in any way connected with the AAA�s claims including demands, damages, actions and causes of action of every kind and nature, known or unknown, existing, claimed to exist, or which can ever hereafter be made, including potential claims for loss of consortium or emotional distress, for or because of any matter or thing done, omitted or suffered to be done by BBB, or any of BBB's� parents, affiliates, subsidiaries, agents, subcontractors, officers, directors, employees.

BBB�s Release

In consideration of _____________________________________________ BBB, on behalf of its heirs, executors, successors, assigns, parents, affiliates, subsidiaries, agents, subcontractors, hereby forever and fully releases, acquits and discharges AAA and each of AAA's successors, assigns, parents, affiliates, subsidiaries, agents, subcontractors from all claims, rights, demands, actions, causes of action, debts or liabilities of any kind whatsoever arising out of BBB's claims and/or arising out of or resulting from or which are in any way connected with the BBB�s claims including demands, damages, actions and causes of action of every kind and nature, known or unknown, existing, claimed to exist, or which can ever hereafter be made, including potential claims for loss of consortium or emotional distress, for or because of any matter or thing done, omitted or suffered to be done by AAA, or any of AAA's� parents, affiliates, subsidiaries, agents, subcontractors, officers, directors, employees.

Confidentiality

The parties hereto understand and agree that the terms and contents of this Agreement, and the contents of the negotiations and discussions resulting in this Agreement, shall be maintained as confidential, and none of the above shall be disclosed except to the extent required by federal or state law.

No Admission of Liability or Responsibility

AAA and BBB deny liability for all of the Claims and this Agreement's final compromise and settlement shall never be treated as an admission of liability or responsibility at any time for any purpose.

Entire Agreement

This Agreement is the entire agreement between the parties and supersedes all earlier and simultaneous agreements regarding the subject matter, including, without limitation, any invoices, business forms, purchase orders, proposals or quotations. This Agreement may be amended only in a written document, signed by both parties.

Governing Law

All claims regarding this Agreement are governed by and construed in accordance with the laws of the state of __________________________, applicable to contracts wholly made and performed in such jurisdiction, except for any choice or conflict of law principles, and must be litigated in _____________________________, regardless of the inconvenience of the forum, except that a party may seek temporary injunctive relief in any venue of its choosing.�

Assignment

This Agreement binds and inures to the benefit of the parties' successors and assigns.

Severability

If any portion of this Agreement is held to be unenforceable, the unenforceable portion must be construed as nearly as possible to reflect the original intent of the parties, the remaining portions remain in full force and effect, and the unenforceable portion remains enforceable in all other contexts and jurisdictions.�
