AGREEMENT by and between ALLENS FAMILY FOODS (AFF) b¢BI`iI1gll¤ orllce at 274
Neslson street. P.O.Eox 1030, Hurlock. MD 21543 hereinafter called AFF end the BENNETT
DETECTIVE AND PRGTEDTIVE AGENCY, INC., F•deralTax ID #514095254 a corporation of
M; the State of Delaware. hereinafter called BENNETT.

1. BENNE'lT shall furnish unarmed. uniformed security officers ln numbers as may from time to
time no designated by AFF with it's job sites located in Cordova, MD and Hnrbeeon. DE.
2. At lts own expense and responsibility. BENNETT shall comply with ell Federal, slate, and local
rules, regulations and requirements with respect to its services to be rendered under this
AGREEMENT.
3. BENNETT shall employ security olticers and snail abide by all rules. regulations. and
requirements relating to private detectives wllhln U18 states of Delaware and Maryland.
4. BENNETT shell at its own expense fumlsh and keep in full force the following insurance during
the term of this centract.
a. Worl are or will be engaged in the rendering of servlcea as provided herein.

out of the performance of this AGREEMENT ln the stated amount of one mllllon dollars
($1.000,000) for each occurrence and three million dollars ($3.000.000) aggregate.
c. Property Damage Liability Insurance covering property damage arising out of the
performance of thll AGREEMENT ln the slated amount of one million dollars
($1,000.000).
o. Personal lnlury Liability Insurance covering against lose or claims for telse arrest or
imprisonment. malicious prosecution and defamation of character in the amount of one
mllllon dollars ($1,000,000) for each occurrence and three rnllllon dollars ($3,000,000)

5. It is mutually understood that BENNETT ls an lndependent contractor and that all guards
employed DY BENNETT to perform the services ee herein provided are end shall bb ei-npleyeec or
BENNETT and not employees of AFF. Employees of BENNETT may not be employed by AFF,
` for any position. within slx months of the termination of this AGREEMENT. if a BENNETT

6. BENNETT will psy all wages = nd expenses of its employees including unemployment
insurance, FICA. Federal and state withholding taxes.
7. The charges for service perfonhed hereunder by BENNETT shall D6 NINE DOLLARS AND
FIFTT ¢ENTS($9.5¤) per hour for each unarmed officer furnished from February 1 1th to February
28th, 2003 based on the hours requested. On March 1 st 2003. the hourly roto shell increase to
NINE DQLLAR AND NINETY CENTS ($9.90) per hour. As e result AFF shell payto BENNETT
the sum. due end owino upon receipt oi invoice. This rate shall cover all costs and expenses ln
their entirety regardless or WTQBYHGI such guard services are peifonned on Saturdays or Sundays
~‘: ;·» - and no other compensation is considered in this agreement. Flve holidays (Memorial Day. 401 or
July. Labor Day, Christmas Er TDHHKSQNYUQ) will be billed at one end a heir times the hourly rate.
All sales are subject to 5% Maryland sales lax lf the job site BENNETT ls working at le located ln
Maryland. Any Incident which would require a Bennett employee to appear ln court villl be billed at
the regular hourly rate.
8. This contract may be terminated following 30 days written notice from either party to the other
of its lntentlon to terminate-
a. This AGREEMENT shall become effective as of the 111'H DAY or FEBRUARY 2003. and
shell remain in effect unless terminated as provided for in paragraph B-
IN WITNESS WHEREOF, the parties hereto have caused this AGREEMENT to be executed by
