ARTICLES OF DOMESTICATION
The undersigned, desiring to domesticate an Indiana Corporation (herein referred to as "Corporation") within the State of Indiana pursuant to the provisions of Indiana Code 23-1-38.5-4, et. seq., executes the following Articles of Domestication:

ARTICLE I: NAME AND JURISDICTION OF CORPORATION

ARTICLE II: ARTICLES OF CHARTER SURRENDER
Please attach herewith and designate as "Exhibit A" the Articles of Charter Surrender for Corporation. Pursuant to Indiana Code 23-1-38.5-7, the Articles of Charter Surrender must include the following: 1. 2. 3. 4. Corporation's name immediately before Filing these Articles of Domestication; A statement that the Articles of Charter Surrender are being filed in connection with the domestication of Corporation in a jurisdiction other than Indiana; A statement that the domestication was approved by the shareholders and, if voting by any separate voting group was required, by each separate voting group, in a manner required by Indiana Law (see Indiana Code 23-1-38.5-5); and Corporation's new jurisdiction of incorporation.

ARTICLE III: PLAN OF DOMESTICATION
Please set forth the Plan of Domestication, attach herewith, and designate it as "Exhibit B." The Plan of Domestication must include the information required by Indiana Code 23-1-38.5-4(c). Please note that the plan must be adopted by Corporation's Board of Directors and approved by Corporation's shareholders in the same manner set forth in Indiana Code 23-1-28.5-5.
