dismissal with prejudice of the Complaint for Breach 0f Contract (Docket No. 1 in the United in
States Bankruptcy Court for the District of Delaware, Adversary Case No. 03-50498 (PJW)) (the
"Complaint") in the above-captioned action. j;

The parties stipulate to the dismissal ofthe Complaint with prejudice because the
parties therein have settled the dispute at issue, and each party shall bear its own costs and 1
attomeys fees incurred in the proceeding.
