The below signed Directors, constituting a quorum of the Directors of Eventemo
Corporation. do hereby state that. pursuant to N.R.S. 78.315(2). the following resolutions and
actions were taken by the Board of Directors.
The following directors of the Corporation, being a quorum of the directors. were present;
1. Bradley S, Schroeder
2. Galen S. Schroeder
Jeftrey D. Hensley was absent.
The Board has discussed and does feel it is in the best interests of the Company to issue
shares to the officers and directors of the Corporation and persons rendering services to the
Corporation in appreciation for the work done by these individuals on its behalf.
RESOLVED. that shares of the Company stock be issued to the individuals and in the
amounts listed below.

in Section 1244-c-(3) of the Internat Revenue Code of 1986, as amended;
RESOLVED FURTHER, that it is deemed advisable that the offer. sale and issuance of
such shares be eftectuated in such a manner that qualihed stockholders may receive the benefit
of Section 124 of the lntemal Revenue Code of 1986, as amended.
There being no further business to come before this meeting, upon motion duly made
and seconded. the same was adjoumed.
