25 The parties, by and through their undersigned counsel stipulate as follows:
26 1. The Court may enter a Permanent Injunction in the form attached as Exhibit

1 A, which follows the form of the Preliminary Injunction issued by the Court on December
2 19, 2003.
3 2. Century 21 Real Estate Corporation’s (“Century ZZ1") claims for
4 Disgorgement of Profit (Second Count), Unjust Enrichment (Third Count) and Breach of
5 Contract (Fourth Count) shall be dismissed without prejudice with eac]1 party to bear its
6 own attorneys’ fees and costs. Century 21 shall only have the right to renew these claims
7 in the event that Defendants file a motion for reconsideration or appeal the Court’s entry
8 of summary judgment on the counterclaims, which Defendants have represented that they
9 will not do.
3. Century 21 reserves the right to file a motion for attorneys’ fees and taxable
10 costs solely as it relates to the First Count (Lanham Act Violations) of the Verified
11 Complaint and Defendants’ Counterclaims. Defendants reserve all arguments and
12 defenses to such a motion.
13 4. Defendants/Counterclaimants reserve the right to file cross -motions for
14 attomey’s fees and taxable costs solely as it relates to the First Cotmt (Lanham Act
15 Violations) of the Verified Complaint and the Counterclaims. Century 21 reserve s all
16 arguments and defenses to such a motion.
