of Errata correcting errors in its Response to Dejendonfs Memorandum in Opposition to

Motion to Dismiss Countercloims, filed on November 18, 2005 (the "Response").

` On the second page of the Response, lines 13-18 should read:

The Estate finally relies upon the stipulation allowing for the 1
20 admission of Exhibit 350 to argue it is entitled to $9,600.26 111 unpaid
_ commissions. But the Estate has not submitted any proof to show that
21 Taser received payment before February 21, 2000, the date of termination,
on the sales for which a commission was not paid. And the Estate cannot .
22 point to any contract provision entitling it to revenues from payments
23 received after termination.
24 On page 15 of the Response, lines 20-22 should read:

The motion to dismiss should be granted. No contract was shown.
26 The services were not the sine gun non of the benefit claimed. The value of
