25. Integration. This document, including exhibits,
contains the entire agreement of the parties with respect to the
transactions contemplated. No prior or contemporaneous
representations, inducements, promises, or agreements, oral or
_ otherwise, between or among the parties which relate to the
subject matter hereof which are not embodied in this Agreement
shall be of any force or effect. -
26. Time. Except as otherwise specified, time is of the
essence of this Agreement.
27. Counterparts. This Agreement may be executed in
several counterparts, each of which shall be deemed an original.
All such counterparts together shall constitute one and the same
instrument. ·
28. Use of Terms. Any pronouns used herein shall include,
when appropriate, either the masculine, feminine or neuter form
and both singular and plural.
29. Cooperation. The parties covenant and agree to execute
and deliver such additional agreements, documents and instruments
as may be reasonably necessary from time to time to implement the
terms of this Agreement. .
30. Headings. Paragraph headings used herein are for
convenience only and are not to affect the construction of or to
be considered in interpreting this Agreement. A

that each has been represented in the negotiations and
