ORDER AND NOW this 24th day of APRIL, 2008, upon consideration of the Defendants' Motions to Dismiss the Second Amended Complaint and the responses thereto by the Trustee and for the reasons stated in the accompanying Memorandum Opinion, it is hereby

ORDERED that the Fifth Claim of the Second Amended Complaint (Deepening Insolvency) is DISMISSED WITH PREJUDICE as to all Defendants; and it is further ORDERED that the aiding and abetting a fraudulent conveyance contained within the Third Claim of the Second Amended Complaint is DISMISSED WITH PREJUDICE as to all Defendants; and it is further ORDERED that the constructive fraud claims contained within the Third Claim of the Second Amended Complaint with respect to the April 2003 Sales Transaction are DISMISSED with respect to Naples and all MDC Defendants except MDC-3 and MDC-4; and it is further ORDERED that the constructive fraud claims contained within the Third Claim of the Second Amended Complaint with respect to the July 2004 Restructuring are DISMISSED with respect to Naples and all MDC Defendants except MDC-2, MDC-5, MDC-6, MDC-7, MDC-8, MDC-9, and MDC-10; and it is further ORDERED that in all other respects the Motions to Dismiss are DENIED.
