DEFENDANT'S MOTION TO DISMISS FOR LACK OF SUBJECT MATTER JURISDICTION UNDER FED. R. CIV. P. 12(B)(1) Defendant Autobytel, Inc. ("Autobytel") respectfully submits this motion for dismissal with prejudice of all claims of plaintiffs' Complaint for Declaratory Judgment. As set forth in the accompanying memorandum, subject matter jurisdiction under the Declaratory Judgment Act requires a "case of actual controversy." However, the facts alleged demonstrate that no such controversy exists. For the reasons set forth more fully in the accompanying memorandum it is respectfully requested that the Court dismiss with prejudice all claims of plaintiffs' Complaint for Declaratory Judgment pursuant to Fed. R. Civ. P. 12(b)(1). A proposed order is also submitted herewith.
