ANSWER AND AFFIRMATIVE DEFENSES Plaintiffs Bruce Charles Ryan, Russell William Newton, Robert Fitzpatrick and Merit Capital Associates, Inc. (the "Ryan Plaintiffs") hereby answer the Second Amended Counterclaims of the Defendants and the Counterclaim Plaintiffs National Union Fire Insurance Company of Pittsburg, PA., and AIG Technical Services, Inc. 23, 2001 due to National Union's admitted failure to comply with the notice requirements under Connecticut law. 41. 42. The Ryan Plaintiffs admit the allegations in Paragraph 41. The Ryan Plaintiffs admit they gave notice on or about September 21, 2001 as

alleged in Paragraph 42.

COUNT ONE (Declaratory Judgment) The Ryan Plaintiffs hereby incorporate each and every answer set forth in paragraphs 1 through 42 of the Second Amended Counterclaim. 43. The Ryan Plaintiffs admit there is a dispute between the parties as to whether AIG

performed under the Policy, but the Ryan Plaintiffs deny the remaining allegations of Paragraph 43. 44. The Ryan Plaintiffs deny sufficient information or knowledge to form a belief as

to the truth of the allegations in Paragraph 44 and leave National Union to its proof.

COUNT TWO (Unjust Enrichment) The Ryan Plaintiffs hereby incorporate each and every answer set forth in paragraphs 1 through 42 of the Second Amended Counterclaim.

AFFIRMATIVE DEFENSES First Affirmative Defense: The Counterclaims fail to state a claim against the Ryan Plaintiffs upon which relief can be granted. Second Affirmative Defense: The Ryan Plaintiffs incorporate all the facts and allegations of their Amended Complaint against National Union as defenses under theories of waiver, unclean hands, and estoppel.
