I, L. Peter Smith, declare as follows:
l. I submit this Supplemental Declaration in support of Defendants’ `
Motion to Transfer Venue to the District of Colorado. The following facts are
within my personal lcnowled ge-and, if called and sworn as a witness, I could and
would competently testify thereto.
2. I am a former member ofthe Board of Directors (the "Board") of
Coram Healthcare Corporation and its wholly owned subsidiary Coram, Inc. I
(collectively, "Coram"). I am not currently zi director ofthe reorganized Coram,
Inc. _
3. I recall that the Board held approximately fifty percent (50%) of
its meetings in Colorado while I was a member.
4. The meeting at which the Board decided to hire Daniel D. Crowley
as Coram’s Chief Executive Oflicer was held in Colorado.

the foregoing is true and correct.
