I am an attorney licensed to practice in Arizona. I have made an appearance in this matter to represent Carl and Molly Brown with regard to the fee application of Plaintiffs in this matter.

I have reviewed the fees charged by Plaintiffs' attorney in this matter. I previously was involved in this matter representing Greg and Melanie Brown, who were dismissed by terms of a Settlement Agreement with the Plaintiffs.

I am familiar with the early litigation history of this matter.

Plaintiffs first brought an action against Home Mortgage and obtained a judgment, including attorneys' fees, against the company.

6.

Plaintiffs then sued Carl and Molly Brown and Greg and Melanie Brown on the theory of making them, as individuals, responsible for the unpaid wages.

7.

Plaintiffs were unsuccessful in their claims against Carl and Molly Brown and Greg and Melanie Brown on the theory of individual responsibility for unpaid wages.

8.

Only after this Court'Opinion and Order of September 19, 2005, did the issue of s piercing the corporate veil become actively litigated.

9.

My review of fees billed after September 19, 2005 shows $52,490.00 in fees. I declare under penalty of perjury that the foregoing is based on my personal

knowledge and is true and correct.
